1) Introduction

These Terms and Conditions (the “Terms”) apply to the Giraux Fine Jewelry website located at www.giraux.com and any affiliated platforms (collectively, the “Site”). By accessing or using the Site—including browsing products or placing an order—you agree to be bound by these Terms. If you do not agree, you must not use the Site.

2) Changes to Terms

Giraux Fine Jewelry may update these Terms at any time without prior notice. Changes are effective when posted to the Site. Your continued use of the Site constitutes acceptance of the updated Terms.

3) Intellectual Property and Content

All content on the Site—including text, images, graphics, logos, videos, and software—is owned by Giraux Fine Jewelry or its licensors and protected by applicable laws. You may view, download, and print content for personal, non‑commercial use only. “Giraux Fine Jewelry” and associated logos are trademarks of Giraux Fine Jewelry. Other trademarks appearing on the Site are the property of their respective owners. Any unauthorized use is prohibited.

5) Use of the Site

You agree to use the Site for lawful purposes and not to: (a) reproduce, resell, or exploit the Site or content for commercial purposes; (b) use data‑mining, robots, or similar data‑gathering tools; (c) interfere with Site operations; or (d) infringe the rights of Giraux Fine Jewelry or others.

6) Booking Services (SimplyBook.me)

To provide online appointment scheduling (the “Booking Service”), Giraux Fine Jewelry uses a platform operated by SimplyBook.me Ltd. When you use the Booking Service, you acknowledge and agree that: (i) your use is governed by these Terms and our Privacy Policy; (ii) SimplyBook.me processes your personal information on our behalf to manage bookings and related communications as instructed by Giraux Fine Jewelry; (iii) you will provide accurate, current, and complete information; and (iv) confirmations and reminders regarding your appointments may be sent via the Booking Service.

7) Product Information and Pricing

We strive for accuracy in product information (descriptions, pricing, availability), but errors may occur. We reserve the right to correct any errors and to cancel or refuse any order placed with incorrect information. Prices and availability may change without notice.

8) Custom and One‑of‑a‑Kind Pieces

Many items are custom‑made or one‑of‑a‑kind. These are final sale and not eligible for return. Please contact our team with any questions before purchasing.

9) Order Acceptance and Cancellation

Receipt of your order does not signify acceptance. We may accept or decline any order for any reason. If an order is canceled after you have been charged, we will issue a full refund.

10) Returns and Refunds

Returns are governed by our Return Policy (available on the Site). Items must be returned in original condition with tags, packaging, and proof of purchase.

11) Indemnification

You agree to defend, indemnify, and hold harmless Giraux Fine Jewelry and its officers, directors, employees, agents, licensors, and suppliers from and against claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your violation of these Terms, your use of the Site, or infringement of third‑party rights.

12) Limitation of Liability

To the maximum extent permitted by law, Giraux Fine Jewelry will not be liable for any indirect, incidental, punitive, or consequential damages arising from your use of—or inability to use—the Site or products. 16) Mobile Messaging Terms (SMS/Text Messaging)

The Giraux Fine Jewelry mobile message service (the “Service”) is operated by Giraux Fine Jewelry (“Giraux Fine Jewelry,” “we,” “us”). Your use of the Service constitutes your agreement to these Mobile Messaging Terms (the “Mobile Terms”). We may modify or cancel the Service—or any of its features—without notice. To the extent permitted by applicable law, we may also modify these Mobile Terms at any time, and your continued use of the Service following the effective date of any changes constitutes your acceptance of those changes.

16.1 Consent to Receive Messages

By consenting to Giraux Fine Jewelry’s SMS/text messaging Service, you agree to receive recurring SMS/text messages from and on behalf of Giraux Fine Jewelry through your wireless provider to the mobile number you provide, even if your number is listed on a state or federal Do Not Call list. Messages may be sent using an automatic telephone dialing system or other technology.

• Service‑related messages may include updates, alerts, and information (e.g., order updates, account alerts).

• Promotional messages may include promotions, specials, and other marketing offers (e.g., cart reminders).

Consent is not a condition of purchase. Participation is voluntary.

16.2 Costs and Frequency

We do not charge for the Service, but message and data rates may apply. Message frequency varies by user and interaction. Check your mobile plan and contact your wireless provider for details. You are solely responsible for charges related to SMS/text messages.

16.3 Opt‑Out and Help

You may opt out at any time by texting the single keyword STOP to +1 (866) 730‑3364 or by clicking the unsubscribe link (where available) in any text message. You will receive a one‑time opt‑out confirmation message; no further messages will be sent unless initiated by you. If you subscribe to multiple Giraux programs, you must opt out separately from each program unless otherwise required by law.

16.4 Number Changes

We may change any short code or telephone number used for the Service and will notify you of such changes. Messages you send to a changed number—including STOP or HELP requests—may not be received, and we are not responsible for honoring requests sent to inactive numbers.

16.5 Carrier Disclaimers

Wireless carriers are not liable for delayed or undelivered messages.

16.6 Your Responsibilities

You agree to provide a valid mobile number. If you obtain a new mobile number, you must re‑enroll with the new number to continue receiving messages.

16.7 Service Limitations and Liability

To the extent permitted by law, we are not liable for failed, delayed, or misdirected delivery of information sent through the Service, any errors in such information, or any actions you take or do not take in reliance on the information or the Service.

16.8 Privacy

We respect your privacy. For how we collect and use personal information, see our Privacy Policy/Notice available on the Site.

Note: These Mobile Terms supplement and are incorporated into the overall Terms. In the event of a conflict between these Mobile Terms and other sections of the Terms, the Mobile Terms control for issues related to the SMS/text Service.

17) Dispute Resolution, Governing Law, and Mandatory Arbitration

You and Giraux Fine Jewelry agree that any dispute, claim, or controversy arising out of or related to these Terms, your use of the Site, or products/services provided by Giraux Fine Jewelry (a “Dispute”) will be resolved individually, without resort to class actions. Both parties waive the right to a jury trial.

Binding Arbitration. Any Dispute shall be finally and exclusively resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules and, where appropriate, the AAA Consumer Rules (available at www.adr.org). Fees and arbitrator compensation will be governed by the applicable AAA rules. The arbitration may be conducted in person, via documents, by phone, or online. The arbitrator will issue a written decision and must apply applicable law. Any award may be challenged if the arbitrator fails to do so.

Exceptions. Either party may bring an individual action in small claims court or seek injunctive or other equitable relief in a court of competent jurisdiction to protect intellectual property rights.

Governing Law and Venue. These Terms are governed by the laws of the State of California, without regard to conflict‑of‑law principles. For actions not subject to arbitration—or if arbitration is found not to apply—exclusive venue lies in the state or federal courts located in the City and County of San Francisco, California, and you consent to personal jurisdiction there.

Any relief awarded in arbitration or court will be individualized and limited to what is necessary to resolve the specific dispute. If any part of this Section is found unenforceable, the remainder will continue to the fullest extent allowed by law.

18) Force Majeure

We will not be liable for any delay or failure in performance due to events beyond our reasonable control, including acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics/epidemics, strikes, or shortages of transportation, fuel, energy, labor, or materials.

19) International Orders

Orders placed outside the United States and Canada may be fulfilled by international partners and may be subject to separate terms as outlined by those providers.

20) Links to Third‑Party Sites

The Site may contain links to third‑party websites or services not owned or controlled by Giraux Fine Jewelry. We are not responsible for the content, privacy policies, or practices of any third‑party websites or services and are not liable for any damage or loss caused by your use of or reliance on them. In addition, you agree to our external Messaging Terms and Messaging Privacy Policy provided by third‑party messaging providers where applicable (see links presented on the Site).

21) Termination

We may terminate or suspend access to the Site at our sole discretion, without notice, for conduct that violates these Terms or is harmful to other users or Giraux Fine Jewelry.

22) Miscellaneous

These Terms constitute the entire agreement between you and Giraux Fine Jewelry and supersede all prior agreements. Our failure to enforce any provision is not a waiver of future enforcement. If any provision is held unenforceable, the remaining provisions remain in effect. Provisions that by their nature should survive termination (including ownership, warranty disclaimers, indemnity, and limitations of liability) will survive.
